Mr. Kallaur’s practice is concentrated on the representation of public companies in connection with private and public securities offerings and compliance with the Securities Exchange Act of 1934 and with stock exchange listing requirements. His transactional experience includes mergers and acquisitions, contests for corporate control, leveraged and management buy-outs and recapitalizations. He has represented private equity sponsors, venture capital funds, mezzanine lenders and operating companies at various stages of development. He also represents public and private companies on general corporate matters, including employment, licensing, loan, joint venture and other agreements.
